Terms of Sale and Delivery

Definitions
In these general terms and conditions, the following expressions shall have the meanings set out below, unless otherwise explicitly stated:

  • BC Technic ApS refers to BC Technic ApS, Brundevej 9, Brunde, 6230 Rødekro, Denmark.
  • Customer refers to the natural or legal person placing an order for products.
  • Product refers to screws, bolts, and other goods offered for sale and delivery by BC Technic ApS, including replacement goods for defective products.

General
These terms and conditions form the basis for all deliveries of products from BC Technic ApS, unless otherwise agreed in writing between the parties. The customer’s own terms and conditions shall not apply unless accepted in writing by BC Technic ApS. BC Technic ApS reserves the right to change these terms with 30 days’ written notice.

An order is only binding for BC Technic ApS once it has been confirmed in writing. Products may be delivered from BC Technic ApS’s suppliers, which may mean that goods are shipped from abroad. Even if accompanying delivery notes contain other terms, the terms of BC Technic ApS shall prevail. The customer is responsible for the selection and use of the products as well as the results achieved. Oral advice or guidance is given at the customer’s own risk unless confirmed in writing by BC Technic ApS.

 

Prices and Quantities
All offers are non-binding and valid for 10 days from the offer date unless otherwise stated. Intermediate sales are always reserved. Prices are those valid on the offer date, but BC Technic ApS reserves the right to invoice at the prices and fees applicable on the delivery date unless otherwise agreed.

Prices are exclusive of VAT but include customs duties and are based on the current USD exchange rate. Any charges BC Technic ApS is legally obliged to collect will be added to the invoice.

Orders under DKK 500 incur a fee of DKK 250.

 

Payment Terms
Unless otherwise agreed, payment must be made no later than 8 days from the invoice date. In case of late payment, BC Technic ApS is entitled to charge 2% interest per commenced month and a reminder fee of DKK 100 per reminder.

If the customer does not collect or pay on time, BC Technic ApS may sell the goods at the customer’s expense or store them at the customer’s risk and expense. Payment for returned goods applies only to the non-defective part of the delivery.

 

Delivery, Delay, Transport, and Transfer of Risk
Delivery times are estimates. Delays do not entitle the customer to compensation. Delivery is made ex warehouse BC Technic ApS in Rødekro, unless otherwise agreed. Transport is at the customer’s expense, and BC Technic ApS does not insure transport unless otherwise agreed in writing.

 

Retention of Title
BC Technic ApS retains ownership of delivered products until full payment, including interest and costs, has been received, in accordance with applicable law.

 

Warranty
Products are delivered with the warranties provided by the manufacturer. BC Technic ApS provides no additional warranty. Warranty is not extended by repair or replacement. BC Technic ApS is not liable for defects caused by incorrect use or modifications made by the customer.

 

Complaints
The customer must inspect the products upon receipt and notify BC Technic ApS in writing of any defects or damages within 5 working days. Without written agreement, BC Technic ApS does not accept returns. Special-order goods are non-returnable. If goods are returned, a 25% deduction will be made from the credited amount. Returns are not accepted without prior written approval from BC Technic ApS.

Always provide the product number, delivery note number, reference number, and the name of the contact person with whom the return was agreed. Without this information, the product will not be credited.

 

Product Liability
Unless otherwise required by mandatory law, the following applies regarding product liability:

BC Technic ApS is only liable for personal injury if it can be proven that the injury was caused by fault on the part of BC Technic ApS. BC Technic ApS is not liable for business loss, loss of profit, or indirect damages. The customer shall indemnify BC Technic ApS to the extent BC Technic ApS incurs liability to third parties, unless BC Technic ApS has acted with gross negligence.

If a third party makes a claim against either party for damages under this clause, that party must immediately notify the other. BC Technic ApS and the customer are mutually obliged to accept jurisdiction by the court or arbitration tribunal handling claims based on damage allegedly caused by the products.

 

Force Majeure
BC Technic ApS is entitled to postpone delivery in the event of force majeure, including labor disputes, natural disasters, government interventions, or other unforeseen events beyond BC Technic ApS’s control.

 

Applicable Law
Legal disputes shall be governed by Danish law and resolved by the local District Court.
